You retain ownership of your Customer Content. You grant Shopii a limited, non-exclusive right to process and use Customer Content only as reasonably necessary to:

• Provide and operate the Services.
• Process your requests.
• Maintain and secure the platform.
• Provide customer support.
• Improve the Services where permitted by applicable law and your agreements with Shopii.

You represent that you have the necessary rights and permissions to provide Customer Content to Shopii and to permit Shopii to process it as described above.

Shopii does not authorize you to use the Services to send unsolicited or unlawful communications.

7. SMS, RCS, WhatsApp and Other Messaging Tools for Businesses

Shopii may provide integrations or services that allow you to communicate with customers through SMS, RCS, WhatsApp, email, or other communication channels. If you use these features, you agree to:

• Obtain all legally required consent before sending marketing communications.
• Maintain appropriate records of consent where required.
• Clearly identify the sender of communications.
• Provide legally required opt-out mechanisms.
• Honor opt-out requests promptly.
• Send only lawful and appropriate content.
• Follow applicable carrier, messaging-provider, platform, and regulatory requirements.
• Not use purchased, scraped, harvested, or unlawfully obtained contact lists.
• Not attempt to circumvent messaging-provider restrictions or filtering systems.

You are solely responsible for the content and recipients of messages sent through your account.

Shopii may suspend messaging functionality if we reasonably believe that your use violates applicable law, these Terms, or requirements imposed by messaging providers.

Some Shopii Services may include artificial intelligence or automated features.

AI-generated outputs may contain errors, omissions, or inaccurate information. You are responsible for reviewing AI-generated content before relying on it or using it for business, customer, financial, legal, medical, or other consequential purposes.

Shopii does not guarantee that AI-generated results will always be accurate, complete, reliable, or suitable for a particular purpose. You should not rely on AI-generated output as a substitute for professional advice.

Shopii may integrate with or depend on third-party services, platforms, APIs, communication providers, payment processors, hosting providers, analytics services, or other external systems.

Third-party services may have their own terms and privacy policies. Shopii is not responsible for the availability, accuracy, security, or functionality of third-party services that are outside Shopii's reasonable control.

Your use of third-party services may be subject to additional terms imposed by those providers.

To the maximum extent permitted by applicable law, the Services are provided on an "as is" and "as available" basis. Shopii makes no warranties, express or implied, regarding the Services except where such warranties cannot legally be excluded.

Shopii does not guarantee that:

• The Services will meet every specific business requirement.
• Results obtained through the Services will be accurate or complete.
• AI-generated content will be error-free.
• Third-party integrations will always remain available.
• Communications sent through third-party messaging networks will always be delivered.

20. Limitation of Liability

To the maximum extent permitted by applicable law, Shopii will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, business opportunities, data, or goodwill arising from your use of the Services.

To the maximum extent permitted by law, Shopii's total liability arising from the Services will be limited to the amount you paid to Shopii for the applicable Services during the twelve months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

21. Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Shopii and its officers, directors, employees, contractors, and service providers from claims, damages, liabilities, costs, and expenses arising from:

• Your violation of these Terms.
• Your unlawful use of the Services.
• Your Customer Content.
• Your violation of another person's rights.
• Your failure to obtain required permissions or consent.
• Messages or communications sent through your account.

22. Changes to These Terms

Shopii may update these Terms from time to time. When material changes are made, Shopii may provide notice through the website, your account, email, or another appropriate method.

Your continued use of the Services after the updated Terms become effective constitutes acceptance of the revised Terms, to the extent permitted by law.

23. Governing Law

These Terms will be governed by the applicable laws of India, unless otherwise required by applicable law or agreed in a separate written agreement.

Any disputes will be subject to the jurisdiction of the courts having appropriate jurisdiction over the applicable Shopii entity and transaction, subject to any mandatory rights available to consumers under applicable law.

24. Severability

If any provision of these Terms is determined to be invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in effect.

25. Entire Agreement

These Terms, together with any applicable order form, subscription agreement, Privacy Policy, and other agreements expressly incorporated into these Terms, constitute the agreement between you and Shopii regarding your use of the Services.
